Acceptance of Terms

By accessing and using the services provided by Keystone Dynamics Ltd. (“we”, “our”, or “us”), you agree to comply with and be bound by these Terms and Conditions (“Terms”). If you do not agree to these Terms, please refrain from using our services. We reserve the right to update or modify these Terms at any time, and your continued use of our services after any changes constitutes your acceptance of the updated Terms.

Description of Services

We provide AI consultancy services to help businesses streamline workflows, automate processes, and implement bespoke AI solutions. The details of the services, including scope, timelines, and deliverables, will be defined in an agreement or statement of work (“Agreement”) between us and the client.

Client Responsibilities

As a client, you agree to:

  • Provide accurate and complete information necessary for the delivery of consultancy services.

  • Respond to requests for feedback, data, or approvals promptly, as specified in the Agreement.

  • Make all required payments in accordance with the terms outlined in the Agreement.

  • Ensure that all required permissions or licences are in place if your business relies on third-party data, tools, or software for the consultancy.

We are not responsible for delays or failures arising from your inability to provide the required information, permissions, or approvals.

Intellectual Property

Upon full payment of fees, ownership of final reports, strategies, and recommendations specifically created for the client (“Deliverables”) will transfer to the client.

We retain all rights to pre-existing tools, methodologies, frameworks, or materials used to create the Deliverables (“Pre-existing Materials”), which may include AI prompts, templates, or workflows. The client is granted a non-exclusive licence to use these Pre-existing Materials solely in conjunction with the Deliverables, provided such use does not infringe our rights or those of any third party.

The client agrees not to modify, distribute, or create derivative works based on the Pre-existing Materials without prior written consent.

Payment Terms

All fees are payable as outlined in the Agreement. Invoices will be issued based on the agreed schedule. Late payments may incur interest charges under the Late Payment of Commercial Debts (Interest) Act 1998.

We reserve the right to pause work or withhold Deliverables if payments are not made as agreed.

Confidentiality

Both parties agree to maintain confidentiality for any proprietary or sensitive information shared during the engagement. This obligation will remain in effect for 1 year after the completion or termination of the project. Confidential information excludes information that is publicly available, independently developed without reliance on shared information, or disclosed through no fault of the receiving party.

Limitation of Liability

To the maximum extent permitted by law, our total liability to the client for any claims related to these Terms or the services provided shall not exceed the total fees paid under the relevant Agreement. We are not liable for any indirect, incidental, or consequential damages, including but not limited to loss of profits, data, or business opportunities.

Termination

Either party may terminate the Agreement by providing 14 days’ written notice. Upon termination, the client shall pay for all work completed up to the termination date.

We reserve the right to terminate immediately if the client breaches any material term of these Terms and fails to remedy the breach within 14 days of receiving notice.

Governing Law and Jurisdiction

These Terms and any associated Agreement are governed by the laws of England and Wales. Disputes arising from these Terms or the services will be subject to the exclusive jurisdiction of the courts of England and Wales.

Miscellaneous

If any provision of these Terms is found to be unenforceable or invalid, the remaining provisions will remain in full effect. These Terms, together with any Agreement, constitute the entire understanding between the parties and supersede all prior discussions or agreements.

Disclaimer of Association and Intellectual Property Protection

Keystone Dynamics Ltd. is a registered company, and we are committed to protecting our brand, intellectual property, and reputation. We are not liable for any third-party websites, businesses, or services falsely claiming affiliation with or endorsement by Keystone Dynamics Ltd.

You acknowledge and agree that:

  • Keystone Dynamics Ltd. is not affiliated with any third-party websites, businesses, or services unless explicitly stated on our official website (https://www.keystonedynamics.co.uk).

  • Any unauthorised use of our company name, registered address, branding, logo, or intellectual property is strictly prohibited and may result in legal action.

  • We are not responsible for any damages, losses, or issues arising from interactions with unauthorised third parties falsely claiming association with Keystone Dynamics Ltd.
